License Agreement

This agreement (wojod Platform Content License Agreement) is a binding legal contract between the user (“Customer,” “Purchaser,” or “Licensee”) and wojod Platform. It sets out the terms and conditions for using the content available through the platform, including, but not limited to, photographs, raster, vector, and pixel graphics, artwork, graphic designs, and other digital elements (“Content”).

This agreement aims to regulate the relationship between the platform, users, and customers, and to ensure the protection of the intellectual property rights of the content offered. It also outlines the types of licenses available, the scope of permitted use for each license, and the restrictions on reuse, distribution, and modification.

When purchasing or downloading any content through wojod Platform, whether by the customer making the purchase directly or by the customer making the purchase on behalf of another party (company, organization, agency, or any other legal entity), the customer represents that they are legally authorized to agree to these terms on their own behalf or on behalf of the entity they represent. Any violation of these terms may result in the revocation of the license and the taking of appropriate legal action.

The Customer acknowledges that he or she has read this Agreement and agrees to all of its terms. The Platform reserves the right to amend these Terms at any time at its sole discretion, provided that Customers are notified of any new amendments via registered email or through a notification within the Platform before they become effective. Customers' continued use of the Content after the effective date of the amendments constitutes express acceptance of such amendments.

Part One

A) Types of Content Licenses on wojod Platform

wojod Platform offers a range of licenses that allow Customers to use Content under specific conditions. Each license specifies the scope of permitted use, including the rights to modify, distribute, and print. When purchasing any Content from the Platform, the Customer agrees to be bound by the terms of the selected license, as described in this Agreement. The licenses provided by the Wojood Platform include the following uses:

Digital Use - Web ads, apps, e-newsletters, email marketing, social media, video-sharing services, websites, mobile apps, software, e-books, and online media (including video-sharing services such as YouTube, Dailymotion, Vimeo, etc.).
Print Use - Books, magazines, posters, newspapers, business cards, etc.
Television, Video, and Film - Unlimited number of viewers, but production budget must not exceed $10,000. Out-of-home Advertising Use - Large billboards, trade shows, signboards, subway ads, etc.

Merchandise - Products for sale or distribution, including, but not limited to, textiles, artwork, magnets, wall art, calendars, toys, stationery, greeting cards, and any other physical reproduction for resale or distribution.
Personal, Non-Commercial Use (not for resale, downloading, distribution, or any commercial use of any kind).

Please read the details of each license carefully to ensure proper and legally compliant use. Purchasing content under this license means the customer accepts all the terms and conditions set forth in this agreement. If the customer violates any of the terms contained in this agreement, the platform reserves the right to revoke the license without compensation and to take necessary legal action.

Standard License:

The "Standard License" is granted by wojod platform to customers to use the content subject to a specific range of rights and restrictions. This license allows the purchaser to use the content for the purposes specified below for an unlimited period, without the ability to modify or distribute it, or any proprietary or exclusive rights to the content.

The Standard License includes the following usage rights:

Digital Use: 500,000 impressions.

Print Use: 500,000 copies.

TV, Video, Film: Unlimited viewership, with a production budget not exceeding $10,000.

Out-of-home advertising: 500,000 views.

Personal, non-commercial use: Permitted.

Merchandise: Not permitted.

Extended License:

The "Extended License" is granted by wojod platform to customers for unlimited use of the content. This license allows the purchaser to use the content for the purposes specified below for an unlimited period, with the ability to modify and distribute it, subject to the requirements specified in this agreement. This license remains non-exclusive, so the platform may license the same content to multiple other customers for the same or similar purposes. The Extended License does not grant any ownership rights to the content, but is limited to the right to use it within the terms set forth in this agreement.

The Extended License includes the following usage rights:

Digital Use: Unlimited.

Print Use: Unlimited.

TV, Video, Film: Unlimited.

Out-of-Home Advertising: Unlimited.

Merchandise: Permitted.

Exclusive License:

wojod platform's exclusive license grants the purchaser completely exclusive rights to use the content for a period of two years starting from the date of purchase. Use of this content is limited to the purchasing customer only during this period. The license grants the purchaser the right to use the content for commercial or non-commercial purposes, with the possibility of modifying, distributing, and incorporating it into other projects under the terms specified in this agreement.

During the two-year period, the purchaser is granted the exclusive right to use the content, and the platform may not license the same content to any third party or sell the content to third parties for any purpose. Upon expiration of this period, the rights to use the content shall revert to the platform.

B) Who else can use the licensed content?

The use of licensed content is limited to the client who completed the purchase. However, in certain cases, other parties may benefit from the license within a defined scope. These cases include:

• If the client purchases the content on behalf of another entity (such as a company or organization), it may be used by the intended beneficiary for whom the content was purchased, in accordance with the granted license terms. In this case, the purchasing client acknowledges and guarantees that they are legally authorized to do so and that the beneficiary will comply with all the license terms and conditions.
• Subcontractors or service providers working on a project for the client are permitted to handle the content only to the extent necessary for executing the client’s project. However, they may not claim any independent rights to use, resell, or sublicense the content.

C) Restrictions on the Use of Licensed Content from Wojod Platform

Use of licensed content from the “Wojod” platform is subject to the following legal restrictions and conditions, which must be adhered to by the client (buyer) or any party using the content under the granted license. Some of these restrictions may vary depending on the type of license selected at the time of purchase:

Intellectual Property Rights and Non-Transferability:

• The client is granted usage rights only in accordance with the license terms, and no intellectual property rights or copyrights are transferred. The content remains protected under local and international intellectual property laws.

Restrictions on Resale and Distribution:

• The client is prohibited from reselling, sublicensing, or distributing the content to any third party as a standalone file—whether for profit or free of charge. A “standalone file” refers to the content file itself that can be used or distributed independently of the project in which it is incorporated.
• Only under professional or exclusive licenses is the client permitted to sublicense the content or grant usage rights to a third party, provided the third party is using it for a project related to the client or the entity on whose behalf the client purchased the content. Use of the content by third parties for unrelated projects is strictly prohibited.
• It is not allowed to publish the standalone file on platforms or websites where it can be downloaded, extracted, redistributed, or shared with the public or unauthorized parties.

Restrictions on Commercial and Advertising Use:

• The content may not be used in commercial or advertising projects unless explicitly permitted by the purchased license.
• The content may not be used in the creation of logos, trademarks, or any materials that can be registered as intellectual property under the client’s name.
• Use of the content in resale-oriented products such as T-shirts, posters, printed or digital materials is prohibited unless expressly allowed under the applicable license.

Restrictions on Illegal or Unethical Use:

• The content may not be used in any way that violates local or international laws, including but not limited to fraud, defamation, incitement, or any illegal activity.
• The content may not be used in materials that promote violence, hatred, racism, religious or ethnic discrimination, or any offensive or inappropriate content.
• The content may not be used in pornographic works or any content deemed unethical or offensive to social norms and traditions.
• The content may not be used in contexts that could damage the reputation of the platform, its creators, or original rights holders.

Restrictions on Modifications and Derivative Works:

• If the license does not permit modification, any alterations to the content—such as digital edits, composites, recoloring, or any other modifications that affect the originality of the work—are strictly prohibited.
• If the license does allow modifications, these must remain within the scope of permitted use and must not infringe the author’s rights. Nonetheless, whether in original or modified form, the content may not be used as a basis for creating standalone digital derivative works for sale or redistribution. Use in physical products like prints or apparel is allowed according to the type of license granted.

Restrictions on Use in Other Platforms:

• Uploading the standalone licensed content file to any digital platforms that allow sharing or downloading by the public—such as image storage sites or media libraries—is strictly prohibited.
• The content may not be used in mobile apps, video games, or software applications that allow users to extract or reuse the content independently.

Compliance with Laws and Legal Rights:

• The client must use the content in compliance with all applicable laws in their country of residence or any country in which the content is used.
• The content may not be used in a way that infringes the rights of third parties, including but not limited to intellectual property rights, privacy rights, or any other legal obligations.
• The client bears full legal responsibility for any unauthorized or illegal use of the content and will be liable for any legal consequences that may arise.

Termination and Legal Consequences of Violating the Terms:

• Wojod reserves the right to immediately terminate the license without prior notice in the event of any violation of the above terms.
• In case of any breach, Wojod may pursue legal action to protect its rights, including seeking compensation for damages resulting from misuse.
• Wojod assumes no legal liability toward the client if the license is revoked due to a violation of this agreement.

Part Two: Warranties and Representations

Wojod Platform represents and warrants the following:

• All content available on the platform has been lawfully obtained from users—whether they are photographers, designers, visual artists, calligraphers, or digital illustrators.
• All selling users on Wojod Platform have granted all necessary rights to legally use and distribute the content, including the rights mentioned in this agreement.
• The content provided through the platform—including photographs, artworks, and digital illustrations—is made available in accordance with the appropriate legal rights. Its use under this agreement and within the licensed scope does not infringe any copyright, intellectual property rights, rights of privacy or publicity, or any other related rights.
• While Wojod makes reasonable efforts to categorize content and use accurate metadata (such as titles and keywords), it does not guarantee the accuracy of this information. Therefore, Wojod shall not be liable for any claims arising from inaccurate metadata, titles, keywords, or descriptions attached to the content.
• If the client or any other party modifies the content, Wojod bears no responsibility for such modifications. Responsibility lies solely with the party making the modifications.
• Aside from the warranties stated in this agreement, Wojod provides no other express or implied warranties or representations regarding any licensed content or its usage.

Part Three: Indemnity and Liability

Subject to the terms of this agreement, and provided you have not violated its provisions or any other agreement with Wojod, the platform will defend, indemnify, and hold you harmless from damages and liabilities resulting from a third-party claim that directly arises from Wojod's breach of the warranties and representations stated in this agreement. Such indemnity shall cover only direct damages, including reasonable legal fees. You must notify Wojod in writing of any claim or threat within five (5) business days of becoming aware of it. The notice must include all relevant details of the claim, such as the nature of the claim, the name of the claimant, and any related correspondence. Wojod has the right to assume control of the defense or settlement of the claim, and you must cooperate with Wojod in this regard. If you wish to participate in the legal defense independently, you must do so at your own expense.

Wojod shall not be liable for any damages or losses resulting from modifications made to the content by you or from the context in which the content is used contrary to this agreement. If the content is altered or used in a manner not authorized under the license terms, Wojod disclaims all legal and financial liability for such use.

Wojod’s total liability to the client—whether under this agreement or any other agreement related to the same content—is limited to $10,000 USD per licensed content item. This cap applies to all claims or disputes and covers direct damages only. If the client has purchased an extended license (if available), the total liability increases to $25,000 USD per item.

You agree to indemnify Wojod, its officers, employees, members, and suppliers for any damages or liabilities arising from your unauthorized use of the content or from any breach of this agreement or other agreements with Wojod.

If third-party content is offered through the platform, Wojod is not responsible for any claims from third parties regarding intellectual property or other rights related to such content. If such rights are violated due to the client’s use of the content, the client assumes full responsibility for the violation.
